1.1Definitions 定義
In the Conditions of Contract (“these Conditions”), which include Particular Conditions and these General Conditions, the following words and expressions shall have the meaning stated. Words indicating persons or parties include corporation and other legal entities, except where the context requires otherwise.
在合同條件（“本條件”），包括專用條件和通用條件中，下列詞語和措辭應具 有以下所述的含義.除上下文另有要求外，文中人員或當事各方等詞語包括公司和其他合法實體.
1.1.1The Contract 合同
1.1.1.1 “Contract” means the Contract Agreement, these Conditions, the Employer’s Requirement, the Tender, and further document (if any) which are listed in the Contract Agreement.
“合同”系指合同協議書、本條件、雇主要求、投標書和合同協議書列出的其他文件（如果有）.
1.1.1.2 “Contract Agreement” means the contract agreement referred to in Sub-Clause 1.6 [Contract Agreement], including any annexed memoranda

1.1.1.3 “Employer’s requirements” means the document entitled employer’s requirements, as included in the Contract, and any additions and modifications to such document in accordance with the Contract. Such document specifies the purpose, scope, and/or design and/or other technical criteria, for the Works.
“雇主要求”系指合同中包括的，題為雇主要求的文件，其中列明工程的目標、范圍、和（或）設計和（或）其他技術標準，以及按合同對此項文件所作的任何補充和修改.
1.1.1.4 “Tender” means the Contractor’s signed offer for the Works and all other documents which the Contractor submitted therewith (other than these Conditions and Employer’s Requirements, if so submitted), as included in the Contract.
“投標書”系指包含在合同中的由承包商提交的為完成工程簽署的報價，以及隨同提交的所有其他文件（本條件和雇主要求除外，如同時提交）.
1.1.1.5 “Performance Guarantees” and “Schedule of payments” mean the documents so named (if any), as included in the Contract.
“履約保證”和“付款計劃表”系指合同中包括的具有上述名稱的文件（如果有）.
1.1.2 Parties and Persons各方和人員
1.1.2.1 “Party” means the Employer or the Contractor, as the context requires.
“當事方（或一方）”根據上下文需要，或指雇主，或指承包商.
1.1.2.2 “Employer” means the person named as employer in the Contract Agreement and the legal successors in title to this person.
“雇主”系指在合同協議書中被稱為雇主的當事人及其財產所有權的合法繼承人.
1.1.2.3 “Contractor” means the person(s) named as contractor in the Contract Agreement and the legal successors in title to this person(s).
“承包商”系指合同協議書中被稱為承包商的當事人及其財產所有 權的合法繼承人.
1.1.2.4 “Employer’s Representative” means the person named by the Employer in the Contract or appointed from time to time by the Employer under Sub-Clause 3.1 [ the Employer’s Representative], who acts on behalf of the Employer.
“雇主代表”系指由雇主在合同中指名的人員，或有時由雇主根據第3.1款［雇主代表的人員］的規定任命為其代表的人員.
1.1.2.5 “Contractor’s Representative” means the person named by the Contractor in the Contract or appointed from time to time by the Contractor Sub-Clause 4.3 [the Contractor’s Representative], who acts on behalf of the Contractor.
“承包商代表”系指由承包商在合同中指名的人員，或有時由承包商根據第4.3款[承包商代表]的規定任命為其代表的人員.
1.1.2.6 “Employer’s Personnel” means the Employer’s Representative, the assistants referred to in Sub-Clause 3.2 [Other Employer’s Personnel] and all other staff, labour and other employees of the Employer and of the Employer’s Representative; and any other personnel notified to the Contractor, by the Employer or the Employer’s Representative, as Employer’s Personnel. “雇主人員”系指雇主代表、第3.2款[其他雇主人員]中提到的助手、 以及雇主和雇主代表的所有其他職員、工人和其他雇員，以及雇主或雇主代表通知承包商作為雇主人員的任何其他人員.
1.1.2.7 “Contractor’s Personnel” means the Contractor’s Representative and all personnel whom the Contractor utilizes on Site, who may include the staff, labour and other employees of the Contractor and of each Subcontractor, and any other personnel assisting the Contractor in the execution of the works.
“承包商人員”系指承包商代表和承包商在現場聘用的所有人員， 包括承包商和每個分包商的職員、工人和其他雇員，以及所有其他幫助承包商實施工程的人員.
1.1.2.8 “Subcontractor” means any person named in the Contract as a subcontractor, or any person appointed as a subcontractor, for a part of the Works; and the legal successors in title to each of these persons.
“分包商”系指為完成部分工程，在合同中指名為分包商、或被任命為分包商的任何人員，以及這些人員財產所有權的合法繼承人.
1.1.2.9 “DAB” means the person or three persons so named in the Contract, or other person(s) appointed under Sub-Clause 20.2 [Appointment of the Dispute Adjudication Board] or Sub-Clause 20.3 [Failure to Agree Dispute Adjudication Board].
“DAB（爭端裁決委員會）”系指在合同中如此指名的一名或三名人員，或根據第20.2款[爭端裁決委員會的任命]或第20.3款[對爭端裁決委員會未能取得一致]的規定任命的其他人員.
1.1.2.10 “FIDIC” means the Federation International des Ingenieurs-Conseils, the international federation of consulting engineers.
“菲迪克（FIDIC）”系指國際咨詢工程師聯合會.
1.1.3 Dates ,Test, Periods and Completion日期、試驗、期限和竣工 1.1.3.1 “Base Date” means the date 28 days prior to the latest date for submission of the Tender.
“基準日期”系指遞交投標書截止前28天的日期.
1.1.3.2 “Commencement Date” means the date notified under Sub-Clause 8.1 [Commencement of Works], unless otherwise defined in the Contract Agreement.
“開工日期”系指根據第8.1款[工程的開工]的規定通知的日期，合同協議書中另有規定的除外.
1.1.3.3 “Time for Completion” means the time for completing the Works or a Section (as the case may be) under Sub-Clause 8.2 [Time for Completion], as stated in the Particular Conditions (with any extension under Sub-Clause 8.4 [Execution of Time for Completion]), calculated from the Commencement Date.
“竣工時間”系指專用條件中規定的，自開工日期算起，至工程或某分項工程（視情況而定）根據第8.2款[竣工時間]規定的要求竣工（連同根據第8.4款[竣工時間的延長]的規定提出的任何延長期）的全部時間.
1.1.3.4 “Tests on Completion” means the tests which are specified in the Contract or agreed by both Parties or instructed as a Variation, and which are carried out under Clause 9 [Tests on Completion] before the works or a Section (as the case may be) are taken over by the Employer.
“竣工試驗”系指在合同中規定或雙方商定的，或按指示作為一項變更的，在工程或某分項工程（視情況而定）被雇主接收前，根據第9條[竣工試驗]的要求，進行的試驗.
1.1.3.5 “Taking-Over Certificate” means a certificate issued under Clause 10 [Employer’s Taking Over].

1.1.3.6 “Tests after Completion” means the tests (if any) are specified in the Contract and which are carried out under Clause 12 [Tests after Completion] after the works or a Section (as the case may be) are taken over by the Employer.
“竣工后試驗”系指在合同中規定的，在工程或某分項工程（視情況而定）被雇主接收后，根據第12條[竣工后試驗]的要求，進行的試驗（如果有）.
1.1.3.7 “Defects Notification Period” means the period for notifying defects in the Works or a Section (as the case may be) under Sub-Clause 11.1 [Completion of Understanding Works and Remedying Defects], as stated in the Particular Conditions (with any extension under Sub-Clause 11.3 [Extension of Defects Notification Period]), calculated from the date on which the Works or Section is competed as certified under Sub-Clause 10.1 [Taking Over of the Works and Sections]. If no such period is stated in the Particular Conditions, the period shall be one year.
“缺陷通知期限”系指專用條件中規定的，自工程或某分項工程（視情況而定）根據第10.1款[工程和分項工程的接收]的規定證明的竣工日期算起，至根據第11.1款[完成掃尾工作和修補缺陷]的規定通知工程或分項工程存在缺陷的期限（連同根據第11.3款[缺陷通知期限的延長]的規定提出的任何延長期）.如果專用條件中沒有提出這一期限，該期限應為一年.
1.1.3.8 “Performance Certificate” means the certificate issued under Sub-Clause 11.9 [Performance Certificate].
“履約證書”系指根據第11.9款[履約證書]的規定頒發的證書.
1.1.3.9 “day” means a calendar day and “year” means 365 days.
“日（天）”系指一個日歷日，“年”系指365天.
1.1.4 Money and Payments 款項與付款
1.1.4.1 “Contract Price” means the agreed amount stated in the Contract Agreement for the design, execution and completion of the Works and the remedying of any defects, and includes adjustment (if any) in accordance with the contract.
“合同價格”系指在合同協議書中寫明的、經商定的工程設計、施工、竣工和缺陷修補的款額，包括以及按照合同做出的調整（如果有）.
1.1.4.2 “Cost” means all expenditure reasonably incurred (or to be incurred) by the Contractor, whether on or off the Site, including overhead and similar charges, but does not include profit.
“成本（費用）”系指承包商在現場內外所發生（或將發生）的所 有合理開支，包括管理費用及類似的支出，但不包括利潤.
1.1.4.3 “Final Statement” means the statement defined in Sub-Clause 14.11[Application for Final Payment].
“最終報表”系指第14.11款[最終付款的申請]規定的報表.
1.1.4.4 “Foreign Currency” means a currency in which part (or all) of the Contract Price is payable, but not the Local Currency
“外幣”系指可用于支付合同價格中部分（或全部）款項的當地貨幣以外的某種貨幣.
1.1.4.5 “Local Currency” means the currency of the Country.
“當地貨幣”系指工程所在國的貨幣.
1.1.4.6 “Provisional Sum” means a sum (if any) which is specified in the Contract as a provisional sum, for the execution of any part of the Works or for the supply of Plant, Material or services under Sub-Clause 13.5 [Provisional Sums]
“暫列金額”系指合同中規定作為暫列金額的一筆款額（如果有），根據第13.5款[暫列金額]的規定，用于工程某一部分的實施，或用于提供生產設備、材料或服務.
1.1.4.7 “Retention Money” means the accumulated retention moneys which the Employer retains under Sub-Clause 14.3 [Application for Interim Payments] and pays under Sub-Clause 14.9 [Payment of Retention Money].
“保留金”系指雇主根據第14.3款[期中付款的申請]的規定扣留的保留金累計金額，根據第14.9款[保留金的支付]的規定進行支付.
1.1.4.8 “Statement” means a statement submitted by the Contractor as part of an application for payment under Clause 14 [Contract Price and Payment].
“報表”系指承包商根據第14條[合同價格和付款]的規定提交的作為付款申請的組成部分的報表.
1.1.5 Works and Goods工程和貨物
1.1.5.1 “Contractor’s Equipment” means all apparatus, machinery, vehicles and other things required for the execution and completion of the Works and remedying of any defects. However, Contractor’s Equipment excludes Temporary Works, Employer’s Equipment (if any), Plant, Materials and any other things intended to form or forming part of the Permanent Works.
“承包商設備”系指為實施和完成工程、以及修補任何缺陷需要的所有儀器、機械、車輛和其他物品.但承包商設備不包括臨時工程、雇主設備（如果有）、以及擬構成或正構成永久工程一部分的生產設備、材料和其他任何物品.
1.1.5.2 “Goods” means Contractor’s Equipment, Materials, Plant and Temporary Works, or any of them as appropriate.
“貨物”系指承包商設備、材料、生產設備和臨時工程，或視情況其中任何一種.
1.1.5.3 “Materials” means things of all kinds (other than Plant) intended to form or forming part of the Permanent Works, including the supply-only materials (if any) to be supplied by the Contractor under the Contract.
“材料”系指擬構成或正構成永久工程一部分的各類物品（生產設備除外），包括根據合同要由承包商供應的只供材料（如果有）.
1.1.5.4 “Permanent Works” means the permanent works to be designed and executed by the Contractor under the Contract.
“永久工程”系指根據合同承包商要進行設計和施工的永久性工程.
1.1.5.5 “Plant “means the apparatus, machinery and vehicles intended to form or forming part of the Permanent Works.
“生產設備”系指擬構成或正構成永久工程一部分的儀器、機械和車輛.
1.1.5.6 “Section” means a part of the Works specified in the Particular Conditions as a Section (if any).
“分項工程”系指在專用條件中確定為分項工程（如果有）的工程組成部分.
1.1.5.7 “Temporary Works” means all temporary works of every kind (other than Contractor’s Equipment) required on Site for the execution and completion of the Permanent Works and the remedying of any defects.
“臨時工程”系指為實施和完成永久工程及修補任何缺陷，在現場所需的所有各類臨時性工程（承包商設備除外).
1.1.5.8 “Works” means the Permanent Works and the Temporary Works, or either of them as appropriate.
“工程”系指永久工程和臨時工程，或視情況指二者之一.
